TERMS AND CONDITIONS

Catalysk Innovations Private Limited (hereinafter referred to as Catalysk, Us, We, Our) is the owner of the website https://catalysk.com (Platform).

By accessing or using Our Platform, products, services, applications or other facilities or mediums (Service(s)), You accept these terms and conditions (Terms & Conditions) and this shall constitute a legally binding agreement between You and Us in connection with Your access, usage, visit or use of Our Services in any manner. Please carefully go through these Terms & Conditions and the privacy policy available at [Insert URL] (Privacy Policy) before you decide to avail Our Services and the Platform. These Terms & Conditions and the Privacy Policy together constitute a legal agreement between any person using Our Services and Our Platform including but not limited to Our customers (User, You or Your) and Catalysk in connection with Your use of the Services and Platform.

In order to avail the Services and use the Platform belonging to Catalysk, You have accepted the following Terms & Conditions given below. Catalysk reserves the right to add, delete, alter or modify these Terms & Conditions at any time.

You are therefore advised to read carefully these Terms & Conditions every time You avail any of the Services and/or use Our Platform.

ACCEPTANCE AND ELIGIBILITY: By accepting these Terms & Conditions, You represent and warrant that You: (a) are at least 18 (eighteen) years of age (or have attained the age of legal majority of where You reside) and agree to be fully responsible for Your acts or omissions in relation to Your use of the Services and Platform; (b) have read, understood and accepted these Terms & Conditions; and (c) agree that these Terms & Conditions constitute a binding contract governing Your rights with respect to the use and access of the Services and the relationship between You and Catalysk. Catalysk reserves the right in its sole discretion to restrict Your access to the Platform at any time for any reason.
THE SERVICES: The services include a technology platform that enables users to estimate and offset their personal carbon footprint, electricity and water consumption, generating a sustainability score or any other metric in relation to the same, while promoting sustainability initiatives (Services).
ELECTRONIC COMMUNICATIONS:
1. When You visit Our Platform or send e-mails to Us, You are communicating with Us electronically. You consent to receive communications from Us electronically. We will communicate with You by e-mail or by posting notices on the Platform. You agree that all agreements, notices, disclosures and other communications that We provide to You electronically satisfy any legal requirement that such communications be in writing.
2. By creating an Account, you agree that Catalysk may send you email messages as part of the normal business operation of your use of the Services. You may opt-out of receiving email messages from Catalysk at any time by emailing sherpa@catalysk.com or clicking 'Unsubscribe' in the footer of any of our email communications. You acknowledge that opting out of receiving email messages may impact your use, or continued use, of the Services.
LICENCE
1. Subject to compliance, Catalysk grants you a limited, non-exclusive, revocable, non-transferrable, and non-sublicensable licence to:
  1. Access and use the Platform solely for your personal, non-commercial use.
  2. Access and use any content or materials made available through the Platform, or any communications You may have received from Us including but not limited to through emails or social media platforms, for your personal, non-commercial use.
  3. Any intellectual property of Catalysk in furtherance of the license and right described in the subject matter of clause (a) and clause (b) above.

INTELLECTUAL PROPERTY
1. This Platform is operated by and is the sole property of Catalysk. All content included on the Platform, such as data, text, graphics, logos, button icons, images, illustrations, audio and video clips, trade names, proprietary information and knowledge, technology, databases, digital downloads, data compilations, software and any combination thereof including the brand name – “Catalysk” or rights with respect thereto (Content) are the property of Catalysk or its content suppliers and are protected by the intellectual property laws. The Content shall not be copied, imitated or used, in whole or in part, without the prior written permission of Catalysk.
2. You agree that any and all material displayed on the Platform is solely for Your personal use and You shall not, whether directly or indirectly, copy, reproduce, republish, post (except as may be explicitly permitted by Us), upload, transmit or distribute such material in any manner and through any media including by way of e-mail or other electronic means and You shall not assist any other person in doing so. Modification of the said materials or use of the materials on any other Platform or networked computer environment or use of the materials for any purpose other than personal use is a violation of the said copyrights, trademarks and other intellectual proprietary rights, and is expressly prohibited.
3. You agree that these Terms & Conditions, do not entitle You to any support, upgrades, updates, add-ons, patches, enhancements, or fixes for the Platform (Updates). We may, however, occasionally provide automatic Updates to the Platform at Our sole discretion (and without any advanced notification to You). Any such Updates shall become part of the services and subject to these Terms & Conditions.
4. From time to time, We test various aspects of Our Platform, including Our website, user interfaces, service levels, plans, promotions, features, availability of content, delivery, and pricing, and We reserve the right to include You in or exclude You from these tests without notice.
5. Catalysk shall have no obligation to monitor or enforce any intellectual property rights that may be associated with the content provided by You on the Platform.
YOUR ACCOUNT
1. You cannot access the Platform without registering for an account. To use the features, You will need to register and create a profile with accurate and complete information. Your profile must be Your own or of a person or, an entity You are entitled to represent and You shall not use or provide any information that is offensive or that violates any third party’s rights. Upon Your usage of the Platform, You are responsible for maintaining the confidentiality of Your account and password and for restricting access to Your computer or mobile or any other device used for accessing Your account, and You agree to accept responsibility for all activities that occur under Your account or password. Catalysk reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at its sole discretion without stating any reason.
2. You may not assign or otherwise transfer your account to any other person or entity. You agree to use the Services for only lawful purposes and agree to comply with all applicable laws when accessing or using the Services. In certain instances, you may be asked to provide proof of identity to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity.
3. Account de-activation: You can choose to de-activate Your account with Catalysk maintained on the Platform by notifying sherpa@catalysk.com. Please note that any cancellation / deactivation of Your account shall be subject to the payment terms applicable to You.
ACCESS RESTRICTIONS :

You agree not to use or launch any automated system, including without limitation, “robots,” “spiders,” “offline readers,” etc., to collect or copy data from the Platform. You further agree that You shall access the Platform only via the website through a web browser or a mobile user interface. Notwithstanding the foregoing, Catalysk grants the operators of public search engines permission to use spiders to copy materials from the Platform for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. Catalysk reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Platform, nor to use the communication systems provided by the Platform for any commercial solicitation purposes.
DATA PRIVACY

Catalysk may with respect to Your access to the Platform, collect information regarding You and Your usage of the Platform. The information so collected is only used to improve the quality of the Services provided on the Platform, to build new products and services and such other uses. By agreeing to this Terms & Conditions it shall be deemed that You have also agreed to the Privacy Policy and the terms therein.
CONFIDENTIALITY:

You may obtain certain confidential information, including without limitation, technical, contractual, product, pricing, business related functions, activities and services, user lists, knowledge of user needs and preferences, business strategies, marketing strategies, methods of operation, markets and other valuable information that should reasonably be understood as confidential (Confidential Information). You acknowledge and agree to hold all Confidential Information in strict confidence. The Title and all interests to all Confidential Information shall vest with Catalysk. Your obligations regarding Confidential Information will survive the termination of this Terms & Conditions for any reason. Upon such termination, You must stop forthwith using any Confidential Information to which You may have been exposed in due course of Your use of the Platform or any of the facilities provided therein or engaging with us through emails, telephone calls, feedback forms, or any other means of communication.
PROHIBITED USES
1. The Platform may be used only for lawful purposes. Catalysk specifically prohibits any use of the Platform for and You agree not to use the Platform for any of the following purposes:
  1. modifying, publishing, storing, transmitting, distributing, displaying, performing, participating in the transfer or sale of, create derivative works on, or in any way exploiting, any of the copyrighted material contained on the Platform, in whole or in part, without Our prior written consent;
  2. subleasing, leasing, selling, assigning, transferring, distributing, renting, permitting concurrent use of, or granting other rights in the content and any material and documentation provided on the Platform by other users or Catalysk to any third party;
  3. providing use of the content in a computer service business, network, time sharing, interactive cable television, multiple CPU or multiple or concurrent user arrangement to users who are not individually licensed by or otherwise exploiting any portion of, the use of or access to the content or the materials or documentation provided on the Platform in contravention of these Terms & Conditions;
  4. defame, libel, disparage, threaten, harass or intimidate anyone or otherwise violate the personal, privacy, contractual, intellectual property or other rights of any person, including by the use of offensive comments related to race, national origin, gender, sexual preference or physical handicap;
  5. submit any content or material that falsely expresses or implies that such content or material is sponsored or endorsed by Catalysk;
  6. sell access to the Platform or any part thereof other than through a mechanism expressly approved by Catalysk; or
  7. Catalysk may also place additional fair use restrictions including restrictions on concurrent connections and time of usage.
PAYMENT:
1. You understand that use of the Services may be conditional on payment of certain amounts by you in consideration for the Services availed from Catalysk (Charges). You will be required to pay the Charges, and any applicable taxes required by law shall be included in the Charges. You will pay the full amount payable to Catalysk through our third-party service provider's payment gateway platform to avail Our Services. We will notify You of the Charges applicable for each of Our Services.
2. Catalysk reserves the right to establish, remove and/or revise Charges for any or all Services obtained at any time at Catalysk 's sole discretion.
REFUND & CANCELLATION POLICY:
1. Requests for Services may be cancelled by the Users at any time, and in the event of such cancellation the User will no longer be able to use our Services. A User can cancel the use of Services/subscription, by contacting sherpa@catalysk.com. A user can continue with Our Services by registering and paying the Charges again on sherpa@catalysk.com. However, it is clarified that in the event of such cancellation You shall not be entitled to receive any refund or pro rata rebate of any Charges paid by You.
SYSTEM LIMITATIONS AND FAILURES:

The systems We use for providing You access to and facilitating Your use of the Platform may encounter technical or other limitations, and computer and communications hardware systems might experience interruptions. Further, We continually enhance and improve these systems in order to accommodate the level of use of the Platform. We may also add additional features and functionality to Platform that might result in the need to develop or license additional technologies. Increased utilization of the Platform or providing new features or functionality may cause unanticipated system disruptions, slower response times, degradation in levels of customer service, and delays in reporting accurate financial information. You agree that We shall not be liable to You or to any third party claiming through You, for any such failures contemplated herein.
SECURITY
1. You are prohibited from violating or attempting to violate the security of the Platform, including, without limitation:
  1. accessing data not intended for You or logging into an account which You are not authorized to access; and/or
  2. attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; and/or
  3. interfere with service to any user, host, or network.
2. You shall not misuse this Platform by knowingly introducing viruses, trojans, worms, logic bombs or other materials that are malicious or technologically harmful (together Viruses). You must not attempt to gain unauthorized access to Our Platform, the server on which the Platform is stored or any server, computer or database connected to this Platform. You must not attack this Platform via a denial-of-service attack. Further, You shall not interfere with or circumvent any security feature of the Platform or any feature that restricts or enforces limitations on use of or access to the Platform, such as probing or scanning the vulnerability of any system, network or breach.
3. By breaching the provisions of this Paragraph, You may be liable to be prosecuted under the Information Technology Act, 2000 and any other applicable law. We will report any such breach to the relevant law enforcement authorities and We will co-operate with such authorities by disclosing Your identity to them. In the event of such a breach, Your rights to use this Platform will cease immediately.
4. We will not be liable for any loss or damage caused by a denial-of-service attack or Viruses that may infect Your computer equipment, mobile or any other device, computer programs, data or other proprietary material due to Your use of this Platform or to Your downloading of any material posted on it, or on any Platform linked to it.
5. You agree to immediately report to Us all incidents involving suspected or actual unauthorized access, disclosure, alteration, loss, damage, or destruction of data.
6. You shall not interfere with or disrupt (or attempt to interfere with or disrupt) access and enjoyment of the Platform of other users or any host or network, including, without limitation, creating or transmitting unwanted electronic communications such as “spam” to other users, overloading, flooding or mail-bombing the Platform, or scripting the creation of content in such a manner as to interfere with or create an undue burden on the Platform.
7. You are prohibited from reverse engineering, decompiling, reverse assembling, modifying or attempting to discover or copy any software, source code or structure that the Platform utilize to generate web pages or any software or other products or processes accessible through the Platform.
8. All actions performed by any person using Your account and password shall be deemed to have been committed by You and You shall be liable for the same.
MONITORING:

All electronic communications and content presented and/or passed to Us, including that presented and/or passed from remote access connections, may be monitored, examined, saved, read, transcribed, stored, or retransmitted in the course of daily operations by any duly authorized employee or agent of Catalysk in the exercise of their duties, or by law enforcement authorities who may be assisting Catalysk in investigating possible contravention / non-compliance with applicable law. Electronic communications and content may be examined by automated means. Further, Catalysk has the right to reject, at its sole discretion, from the Platform any electronic communications or content deemed not to be in compliance with the corporate policies and procedures of Catalysk.
DUTIES & TAXES:

Duties and taxes would be applicable as per government regulations and is included in the price of the Services shown. Any changes to the current government notifications including but not limited to tax rates, tariffs, or any other regulatory requirements affecting billing, shall be applicable at the time of billing. Duties as applicable in the User’s country will be added to User’s account.
LIMITATION OF LIABILITY:

Catalysk will not be responsible or cannot be held liable for any damage suffered by Users from use of the Services and/or Platform. This without limitation includes loss of revenue or data resulting from delays, non-deliveries, missed deliveries, or service interruptions as may occur because of any act / omission of the vendor. This disclaimer of liability also applies to any damages or injury caused by any failure of performance, negligence, defect, deletion, error, omission, interruption, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortuous behaviour, or under any other cause of action.
LINKS TO / FROM OTHER PLATFORMS AND THIRD PARTY TOOLS
1. The Platform may contain link/s to various other websites. These links are provided solely for Your convenience and benefit. Wherever such link/s lead to websites which are not owned by or belong to Catalysk, We shall not be responsible for the content, products and services provided on such linked sites. We do not warrant or make any representations regarding the correctness or accuracy of the content on such websites. If You decide to access such linked websites, You do so at Your own risk. We do not in any way endorse the linked websites.
2. Similarly, this Platform can be made accessible through a link created by other websites. Access to this Platform through such link/s shall not mean or be deemed to mean that the objectives, aims, purposes, ideas, concepts of such other websites or their aim or purpose in establishing such link/s to this Platform are necessarily the same or similar to the idea, concept, aim or purpose of Our Platform or that such links have been authorized by Us. We are not responsible for any representation/s of such other websites while affording such link and no liability can arise upon Catalysk consequent to such representation, its correctness or accuracy. In the event that any link/s afforded by any other website/s derogatory in nature to the objectives, aims, purposes, ideas and concepts of this Platform, is utilized to visit this Platform and such event is brought to the notice or is within the knowledge of Catalysk, civil or criminal remedies as may be appropriate shall be invoked.
FORCE MAJEURE: Catalysk will not be deemed in default hereunder or held responsible for delays or failures in performance resulting from any of the following reasons including but not limited to acts of god, acts of civil or military authority, fire, flood, strikes, war, epidemics, shortage of power, or other acts or causes beyond the control of Catalysk.
REVIEW AND FEEDBACK: The Platform allows its Users to provide reviews and feedback on the Services and Platform. You shall not display, upload, modify, publish, transmit, update or share any information on the Platform that:
1. belongs to any other person, such information which You do not have any right to;
2. is grossly harmful, harassing, defamatory, obscene, pornographic, paedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
3. harm minors in any way;
4. infringes any patent, trademark, copyright or other proprietary rights;
5. violates any law for the time being in force;
6. deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
7. impersonates another person;
8. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of the Platform; and
9. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.
  
  It is further clarified that Catalysk shall not be directly or indirectly responsible for any such acts by the Users of the Platform. However, Catalysk shall undertake all reasonable steps to avoid and mitigate such acts of its Users.
OBJECTIONABLE MATERIAL:

While all reasonable information technology security measures are taken to ensure wholesome and socially acceptable content are available on Our Platform, notwithstanding Our best efforts the User understands and accepts the risk that while using the Platform, one may encounter Content that may be deemed by some to be offensive, indecent, or objectionable, which Content may or may not be identified as such. Catalysk and its affiliates shall have no liability to Users for Content that may be deemed offensive, indecent, or objectionable to You.
INDEMNIFICATION
1. You agree to indemnify, defend, and hold Catalysk, its subsidiaries and their affiliates (Indemnified Persons) harmless from and against any third party claims, damages (actual and/or consequential), actions, proceedings, demands, losses, liabilities, costs and expenses (including reasonable legal fees) suffered or reasonably incurred by Indemnified Persons arising as a result of, or in connection with: (i) Your access to and use of the Services, Platform and any facilities provided therein (including through any third party links or websites); (ii) Your violation of any rights of another party; or (iii) Your breach of these Terms & Conditions, including, but not limited to, any infringement by You of the copyright or intellectual property rights of any third party. Catalysk retains the exclusive right to settle, compromise and pay, without Your prior consent, any and all claims or causes of action which are brought against Catalysk. We reserve the right, at Your expense, to assume the exclusive defence and control of any matter for which You are required to indemnify Indemnified Persons and You agree to cooperate with Our defence of these claims. You agree not to settle any matter in which the Indemnified Persons are named as a defendant and/or for which You have indemnity obligations without Our prior written consent. Catalysk will use reasonable efforts to notify You of any such claim, action or proceeding upon becoming aware of it.
2. The User agrees to give accurate, authentic and true information. Catalysk reserves the right to confirm and validate the information and other details provided by the User at any point of time. If any such User details are found not to be true wholly or partly, Catalysk has the right in its sole discretion to reject the registration and debar the User from using the Platform without any prior intimation whatsoever. Additionally, Catalysk reserves the right to revise scores, impose penalties on repeat offenders, and take other corrective actions as deemed necessary, which may include, but are not limited to, undoing benefits awarded or implementing further restrictions.
3. Catalysk will not be liable for any type or kind of credit card, UPI or other payment fraud. The liability for using a card or other payment options fraudulently will be on the User and the onus to ‘prove otherwise’ shall be exclusively on the User.
FAIR USAGE POLICY:

The Services cannot be availed for any commercial activity or for personal gains, other than in the manner the Services are intended to be used. We reserve the right to limit, suspend, disable or discontinue Your usage of and access to the Platform in the event that it is discovered that the Services are being used in conjunction with any commercial activity including but not limited to using the Platform for commercial gains or misuse of the facilities for purposes other than intended. Your access to this Platform may be terminated immediately, at the sole discretion of Catalysk, with or without notice, if You fail to comply with any provisions of this Terms & Conditions and/or additional terms, or for any other reason, or for no reason. Without limiting any other provisions of this Terms & Conditions, You agree that You will not undertake any of the following actions:
1. use the Platform for any other purpose that is unlawful or prohibited by these Terms & Conditions and/or any applicable laws;
2. violate the security of the Platform through any unauthorized access, circumvention of encryption or other security tools, data mining or interference to any host, User or network; and
3. reverse engineer, or attempt to reverse engineer either directly or indirectly any code or software from or on the Platform or the Services.
DISCLAIMER

The Platform and all information, content, materials, and products (including software) included on or otherwise made available to You through the Platform are provided by Catalysk on an “as is” and “as available” basis, unless otherwise specified in writing. Occasionally there may be information on our site that contains typographical errors, inaccuracies or omissions that may relate to the Services. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in this Platform or any products or services obtained therefrom is inaccurate at any time without prior notice (including after you have submitted your order).

Catalysk makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products (including software) included on or otherwise made available to You through the Platform, unless otherwise specified in writing. You expressly agree that Your use of the Platform is at Your sole risk. To the full extent permissible by applicable law, Catalysk disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Catalysk does not warrant that the Platform; information, content, materials, including software or Services included on or otherwise made available to You through the Platform; their servers; or e-mail sent from Catalysk are free of viruses or other harmful components. Downloading the content when accessing or using the Services is solely at your own risk. You are responsible for implementing safeguards to protect the security and integrity of your computer and mobile device and you are responsible for the entire cost of any services, repairs or connections of and to your mobile device which may be necessary as a result of your use of the Services. Catalysk cannot and does not guarantee or warrant that the content will be free of viruses, worms, trojan horses or disabling devices or other code that manifests contaminating or destructive properties. Catalysk will not be liable for any damages of any kind arising from the use of the Platform or from any information, content, materials, including software or Services made available to You through the Platform, including, but not limited to direct, indirect, incidental, punitive, and consequential damages, unless otherwise specified in writing. will not be liable for any damages of any kind arising from the use of the Platform or from any information, content, materials, including software or Services made available to You through the Platform, including, but not limited to direct, indirect, incidental, punitive, and consequential damages, unless otherwise specified in writing.
3. We undertake no obligation to update, amend or clarify information with respect to the definition of Services, or any content of the Platform, except as required by law.
APPLICABLE LAW:

This Terms & Conditions shall be governed by the laws of India. The competent courts of Bangalore, India shall have the exclusive jurisdiction over any Dispute arising under these Terms & Conditions. We make no representation that the content contained regarding the Services is appropriate or to be used or accessed outside of the Republic of India. You are expressly notified that many states and foreign countries all have their own regulations that must be observed in relation to Your use or access of the Services and the Platform. You must make Your own assessment regarding, and are responsible for compliance with, regulatory requirements as may be applicable to Your use and access of the Services to the Platform in such jurisdictions.
DISPUTE RESOLUTION AND BINDING ARBITRATION:

Any action, dispute or difference arising under or relating to these Terms & Conditions (Dispute) shall at the first instance be resolved through negotiations in good faith between the disputing parties thereto, which negotiations shall begin promptly, within 15 (fifteen) days after a party has delivered to the other party a written request for such consultation. If the parties are unable to resolve the Dispute in question within 15 (fifteen) days of the commencement of negotiations, such Dispute shall be referred to and finally resolved by arbitration by a sole arbitrator jointly appointed by the disputing parties in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time and rules prescribed thereunder. The place and seat of arbitration shall be Bangalore, India and the language shall be English.
CHANGES TO THIS TERMS & CONDITIONS
1. We reserve the right to update or change Our Terms & Conditions at any time and You should check this Terms & Conditions periodically. Your continued use of the Service after We post any modifications to the Terms & Conditions on this page will constitute Your acknowledgment of the modifications and Your consent to abide and be bound by the modified Terms & Conditions. We shall not be liable for any failure or negligence on Your part to review the updated Terms & Conditions before accessing or using the Platform or Services.
2. If We make any material changes to this Terms & Conditions, We will notify You either through the email address You have provided to Us, or by placing a prominent notice on the Platform.
MISCELLANEOUS
1. This Terms & Conditions along with the Privacy Policy constitute the entire agreement between You and Catalysk and expressly supersedes any prior agreements or arrangements between you and Catalysk regarding the subject matter. Catalysk may terminate these Terms & Conditions at any time for any reason.
2. Grievance Redressal: Catalysk strives to redress the concerns of Users expeditiously. An aggrieved User may report his/her concern to the grievance officer who shall redress the grievances within one month from date of receipt of such grievance.

Assignment: Your rights and obligations provided under this Terms & Conditions shall not be assigned by You without the written consent of Catalysk. Catalysk shall be entitled to assign their rights and obligations hereunder to any affiliate, third party or as part of any restructuring, business combination, merger or acquisition.
Waiver: The rights and remedies available under this Terms & Conditions may be exercised as often as necessary and are cumulative and not exclusive of rights or remedies provided by law. It may be waived only in writing. Delay in exercising or non-exercise of any such right or remedy does not constitute a waiver of that right or remedy, or any other right or remedy.
Severability: If any provision of this Terms & Conditions is held to be illegal, invalid, or unenforceable under any present or future applicable law: (i) such provision or part thereof shall be fully severable; and (ii) the remaining provisions of this Terms & Conditions shall remain in full force and effect and shall not be affected by the illegal, invalid, or unenforceable provision, or by its severance here from, to the extent permissible under the applicable law. Without prejudice to the foregoing, the You agree to the alternate legally valid and enforceable provisions, as similar to, in terms and effect, such illegal, invalid or unenforceable provisions, as may be possible.
